Version 1.0 — Effective April 2026 — AgentSpotlight.ai
AgentSpotlight.ai offers a trial period commencing upon account creation (“Trial Period”). During the Trial Period, Subscriber may access the Services and is encouraged to review these terms, seek independent legal counsel, and evaluate the Services before incurring any financial obligation.
For Standard and Launch Promo plans, no charge applies during the 14-day Trial Period. If Subscriber does not cancel prior to the expiration of the Trial Period, Subscriber’s payment method will be charged the full subscription amount and this Agreement shall become fully binding and enforceable in all respects.
Cancellation during the Trial Period must be completed through Subscriber’s account settings or by written notice to support@agentspotlight.ai. No charges apply during the Trial Period. No refunds will be issued for cancellations made after the Trial Period expires.
Subject to timely payment of all fees and compliance with the Fair Use & Acceptable Use Policy, AgentSpotlight.ai grants Subscriber a limited, non-exclusive, non-transferable, revocable right to access and use the following Services: (a) Fully automated, SEO-optimized AI-powered blog posts written in Subscriber’s brand voice; (b) Deep keyword research tailored to Subscriber’s target market; (c) Access to the private AgentSpotlight.ai Discord community; (d) Access to the growing AI tool stack, including custom GPTs, Claude Coworker programs, Gemini tools, GROK tools, and other LLM tools as developed; (e) Weekly live training sessions and webinars; (f) Beta access to new tools and features as developed; and (g) The ability to submit feature recommendations.
Account Sharing Prohibited: Subscriber agrees not to share their account with any other person. Account sharing will result in immediate termination with no refund.
AgentSpotlight.ai reserves the right to modify, update, or discontinue any feature of the Services at any time, with reasonable notice where practicable.
Blog post generation is available within normal usage patterns consistent with a single real estate professional’s business. The maximum allowable usage is 20 blog posts per calendar day per account. The following uses are expressly prohibited: (a) Volume abuse — submitting more than 20 requests/day or using bots/scripts; (b) Commercial redistribution — reselling or sublicensing content to third parties; (c) Multi-user exploitation — using a single subscription to generate content for multiple agents or brokerages; (d) Competitive intelligence — reverse-engineering AgentSpotlight’s methodologies or workflows.
AgentSpotlight.ai will make reasonable efforts to notify Subscriber of a fair use concern before taking enforcement action, except in cases of egregious or bad-faith abuse.
AgentSpotlight.ai will use commercially reasonable efforts to maintain availability of the Services and commits to a minimum annual uptime of 95% per calendar year. Subscriber expressly acknowledges that: (a) AgentSpotlight.ai shall not be liable for damages arising from service interruptions; (b) Downtime caused by third-party platforms or AI providers is beyond AgentSpotlight.ai’s control; (c) Scheduled maintenance windows do not count toward the 5% downtime threshold; (d) Beta features carry no uptime guarantee.
In the event the 95% commitment is not met through AgentSpotlight.ai’s own fault, Subscriber’s sole remedy shall be a prorated service credit applied to their next billing cycle. No cash refunds shall be issued solely on the basis of downtime.
Standard Subscription: $99.00 USD per month, billed monthly in advance. The standard monthly rate carries no long-term price protection — AgentSpotlight.ai reserves the right to increase it with thirty (30) days advance written notice.
Launch Promotion (Limited Availability): $99.00 USD per month, billed annually in advance for a total of $1,188.00 USD. Subscribers who join during the Launch Promotion will have this rate fixed for all future Renewal Terms, provided their account remains in good standing and no payment lapses occur.
Premium Subscription: Starting at $295.00 USD per month, billed monthly. Premium includes a one-time setup fee that is quoted individually based on site complexity, design requirements, integrations, and customization scope. The setup fee is determined after a consultation with AgentSpotlight.ai and must be paid in full before setup work begins. The one-time setup fee is non-refundable once work has commenced. Premium includes managed blog site hosting, AI-powered blog posting, and ongoing maintenance. Lead capture, CRM integration, and IDX plugins may incur additional third-party fees.
All prices are in USD. Subscribers are responsible for all applicable taxes. Any Launch Promotion Subscriber whose account lapses forfeits their locked promotional rate upon resubscription.
All fees are due and payable in advance at the start of each billing period. Payment is processed securely through Stripe. By subscribing, Subscriber authorizes AgentSpotlight.ai to charge the payment method on file for all recurring fees.
If any payment is not received within five (5) business days of its due date, AgentSpotlight.ai may suspend Subscriber’s access or terminate this Agreement. If Subscriber initiates a chargeback, AgentSpotlight.ai may immediately suspend the account. If a chargeback is resolved in AgentSpotlight.ai’s favor, Subscriber shall be responsible for chargeback processing fees (typically $15.00 USD per disputed transaction) in addition to the original subscription amount owed.
ALL FEES ARE NON-REFUNDABLE. PAYMENTS ARE FULLY EARNED UPON RECEIPT. NO REFUNDS, CREDITS, OR ADJUSTMENTS WILL BE ISSUED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO EARLY CANCELLATION, PARTIAL USE, NON-USE, ACCIDENTAL RENEWALS, OR DISSATISFACTION WITH THE SERVICES.
Upon cancellation, Subscriber retains access through the end of the current paid billing period. No refund will be issued for any unused portion. Failure to use the Services, accidental renewal, and dissatisfaction with AI-generated content do not constitute grounds for a refund.
Premium Setup Fee: The one-time setup fee is non-refundable once work has commenced. If Subscriber cancels prior to the commencement of setup work, a full refund of the setup fee will be issued.
Exception: If AgentSpotlight.ai fails to provide Services in material conformity with their description for more than thirty (30) consecutive days through no fault of Subscriber, Subscriber may submit a written refund request to support@agentspotlight.ai. AgentSpotlight.ai will review such requests at its sole discretion.
AUTOMATIC RENEWAL DISCLOSURE: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING TERM AT THE THEN-CURRENT RENEWAL RATE UNTIL YOU CANCEL. IT IS YOUR SOLE RESPONSIBILITY TO CANCEL BEFORE YOUR RENEWAL DATE.
Standard Monthly Subscribers: Auto-renew monthly at $99.00 USD unless cancelled at least fourteen (14) days before the renewal date.
Launch Promotion Subscribers: Auto-renew annually at $1,188.00 USD unless cancelled at least thirty (30) days before the renewal date.
Premium Subscribers: Auto-renew monthly at $295.00 USD (or the then-current Premium rate) unless cancelled at least fourteen (14) days before the renewal date. Cancellation of the monthly subscription does not entitle Subscriber to a refund of the one-time setup fee.
Cancellation Process: (a) Click “Cancel Subscription” in your account dashboard; or (b) Send written notice to support@agentspotlight.ai from your account email. Cancellation takes effect at the end of the current paid billing period.
Pre-Renewal Notice: AgentSpotlight.ai will provide electronic pre-renewal notice no fewer than fifteen (15) days and no more than forty-five (45) days before each renewal date.
All right, title, and interest in the Platform, Services, AI tools, custom GPTs, algorithms, proprietary prompts, skill files, training materials, webinar recordings, and automation workflows remain the exclusive property of AgentSpotlight.ai. THE SERVICES ARE LICENSED, NOT SOLD.
No subscription or payment confers any ownership interest in the Platform or Services. Subscriber owns AI-Generated Content (blog posts, marketing materials) produced through their individual use, subject to: (a) No exclusivity is guaranteed — other subscribers may receive similar content; (b) Purely AI-generated content may not be eligible for copyright protection under current U.S. Copyright Office guidance; (c) All licenses to Company IP terminate immediately upon cancellation or termination.
AgentSpotlight.ai integrates with third-party services including but not limited to Stripe, OpenAI, Anthropic, Google, Discord, and various IDX/CRM providers. AgentSpotlight.ai is not responsible for outages, policy changes, pricing changes, or service interruptions from any third-party provider.
Premium subscribers who opt for Lead Capture, CRM Integration, or IDX plugins acknowledge that these integrations may be subject to separate terms and fees from their respective providers. AgentSpotlight.ai facilitates setup but does not control third-party pricing or availability.
AGENTSPOTLIGHT.AI MAKES NO GUARANTEE OF LEADS, CLIENTS, CLOSINGS, COMMISSIONS, RANKINGS, OR REVENUE. RESULTS VARY BY MARKET, EFFORT, COMPETITION, AND NUMEROUS FACTORS OUTSIDE OF AGENTSPOTLIGHT.AI’S CONTROL.
Testimonials and case studies shared on agentspotlight.ai or in marketing materials represent individual results and are not a promise or guarantee of similar outcomes. Subscriber acknowledges that AI visibility optimization is an ongoing process and that results depend on consistent use and market conditions.
Confidentiality: Subscriber agrees to treat all non-public information about AgentSpotlight.ai’s tools, methods, and workflows as confidential and not to disclose to third parties.
Disclaimer of Warranties: THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. AGENTSPOTLIGHT.AI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability: IN NO EVENT SHALL AGENTSPOTLIGHT.AI’S TOTAL LIABILITY TO SUBSCRIBER EXCEED THE TOTAL FEES PAID BY SUBSCRIBER IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
Governing Law: This Agreement shall be governed by the laws of the State of California without regard to conflict of law principles.
Dispute Resolution: Any disputes shall first be submitted to good faith mediation. If mediation fails, disputes shall be resolved through binding arbitration in California.
Electronic Acceptance: By completing a purchase through Stripe checkout, Subscriber electronically agrees to this Agreement. The date, time, and transaction details of Subscriber’s acceptance will be recorded automatically and constitute a legally binding electronic signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA).
